Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

Effective December 15, 2004, Charles D. Nyberg resigned as a member of the Board of Directors of the Company. There was no disagreement between the Company and Mr. Nyberg related to the Company’s operations, policies or practices. Mr. Nyberg did not serve on any committees of the Board of Directors.
