State below in reasonable detail the reasons why the Form 10-K, 11-K, 20-F, 10-Q, N-CEN, N-SAR, or the transition report or portion thereof, could not be filed within the prescribed time period. (Attach extra sheets if needed).

Cryo-Cell International, Inc. (the “Registrant”) was unable, without unreasonable effort or expense, to file its Quarterly Report on Form 10-Q for the quarter ended February 28, 2023 (the “Quarterly Report”) by April 14, 2023 due to a delay experienced by the Registrant in completing its financial statements and other disclosures in the Quarterly Report, primarily as a result of delays associated with a recently amended license agreement. As a result, the Registrant is still in the process of compiling the required information to complete the Quarterly Report, and its independent registered public accounting firm requires additional time to complete its review of the financial statements for the quarter ended February 28, 2023 contained in the Quarterly Report. The Registrant anticipates filing its Annual Report within the grace period provided under Rule 12b-25.
